The Services offered by Sit4Sit.com ("Sit4Sit.com" or "we" or Sit4Sit) include the Sit4Sit.com Website (the "Website") and any other features, content, or applications offered from time to time by Sit4Sit.com in connection with the Website (collectively, the "Services").

This Terms of Use Agreement ("Agreement") sets forth the legally binding terms for your use of the Services. By using the Services, You agree to be bound by this Agreement, whether you are a "Visitor" (which means that you simply browse the Website) or you are a "Member" (which means that you have registered with Sit4Sit).

Please read them carefully and if you do not agree with them, please do not register as a Member. The terms are subject to change by Sit4Sit at any time. Sit4Sit may modify this Agreement from time to time and such modification shall be effective upon posting by Sit4Sit on the Website. You agree to be bound to any changes to this Agreement when you use the Services after any such modification is posted. It is therefore important that you review this Agreement regularly to ensure you are updated as to any changes. Please note that Sit4Sit reserves the right to terminate your membership for any reason.

As a Member your Profile is defined as all information that you provide regarding you personally and/or your Family.

You are solely responsible for any information contained in your Profile and all of your communications with other Sit4Sit Members. By registering as a Member, you agree to abide by the terms and conditions below:

1. REGISTRATION OBLIGATIONS

In consideration of your use of the Services, you represent that you are of legal age to form a binding contract and are not a person barred from receiving services under the laws of Victoria (Australia) or other applicable jurisdiction. You also agree to: (a) provide true, accurate, current and complete information about yourself as prompted by the Service's registration form (the "Registration Data") and (b) maintain and promptly update the Registration Data to keep it true, accurate, current and complete. If you provide any information that is untrue, inaccurate, not current or incomplete, or Sit4Sit has reasonable grounds to suspect that such information is untrue, inaccurate, not current or incomplete, Sit4Sit has the right to suspend or terminate your account and refuse any and all current or future use of the Service. Sit4Sit is concerned about the safety and privacy of all its users, particularly children.

2. MEMBER CONDUCT

We want to ensure that using the Website is the best experience possible for all Website Members. To that end, You are prohibited from any actions that may interfere with another’s experience. These include, but are not limited to

Using our systems to send unsolicited messages (SPAM)
accessing data not intended for You
attempting to breach authentication or login to an account the You are unauthorized to access
disrupting service to the Website by interfering with the server or network by denial of service attack (DOS), spamming, or otherwise engage in conduct that causes a threatened or actual nuisance to Website Members.
Forging information sent to the Website or in an email, including TCP/IP packet information.

If you become Website Member, you are participating in the Website community. You must conduct yourself in a manner that is in the spirit of the community. You must not post, transmit, save, or distribute any Information or material that is:

false, inaccurate or misleading;
fraudulent;
infringes the privacy or intellectual or other proprietary rights of another;
illegal;
defamatory, libelous, threatening, or intimidating;
obscene or contains child pornography;
contains any viruses, Trojan horses, easter eggs, worms, time bombs or other computer programming routines that may damage, modify, delete, detrimentally interfere with, surreptitiously intercept, access without authority or expropriate any system, data or personal information;
create liability for us or cause us to lose (in whole or in part) the services of our ISPs, Web hosting company, or other suppliers; or
creates an unauthorized link to another website

Sit4Sit reserves the right to edit, refuse to post, or remove any information or material it deems as inappropriate.

3. PASSWORD

When you sign up to become a Member, you will also be asked to choose a password. You are entirely responsible for maintaining the confidentiality of your password. You agree not to use the account, username, or password of another Member at any time or to disclose your password to any third party. You agree to notify Sit4Sit immediately if you suspect any unauthorized use of your account or access to your password. You are solely responsible for any and all use of your account.

4. MEMBER SUSPENSION

Sit4Sit reserves the right to suspend any member who violates these rules. In the case of Profiles, Sit4Sit may hide or remove the Profile if it is judged offensive until the offensive portion is amended.

5. COPYRIGHT POLICY

You may not post, modify, distribute, or reproduce in any way any copyrighted material, trademarks, or other proprietary information belonging to others without obtaining the prior written consent of the owner of such proprietary rights. It is the policy of Sit4Sit to terminate Membership privileges of any Member who repeatedly infringes the copyright rights of others upon receipt of prompt notification to Sit4Sit by the copyright owner or the copyright owner's legal agent. Without limiting the foregoing, if you believe that your work has been copied and posted on the Services in a way that constitutes copyright infringement, please provide our Copyright Agent with the following information: (i) an electronic or physical signature of the person authorized to act on behalf of the owner of the copyright interest; (ii) a description of the copyrighted work that you claim has been infringed; (iii) a description of where the material that you claim is infringing is located on the Website; (iv) your address, telephone number, and email address; (v) a written statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law; (vi) a statement by you, made under penalty of perjury, that the above information in your notice is accurate and that you are the copyright owner or authorized to act on the copyright owner's behalf. 6. DISPUTES

You are solely responsible for your interactions with other Sit4Sit Members. Sit4Sit reserves the right, but has no obligation, to monitor disputes between you and other Members.

7. PRIVACY

Use of the Services is also governed by our Privacy Policy, which is incorporated into this Agreement by this reference.

8. DISCLAIMERS

Sit4Sit is not responsible for any incorrect or inaccurate Content posted on the Website or in connection with the Services provided, whether caused by Users of the Services or by any of the equipment or programming associated with or utilized in the Services. Profiles created and posted by Members on Sit4Sit may contain links to other websites. Sit4Sit is not responsible for the Content, accuracy or opinions expressed on such websites, and such websites are in no way investigated, monitored or checked for accuracy or completeness by Sit4Sit. Inclusion of any linked website on Sit4Sit does not imply approval or endorsement of the linked website by Sit4Sit. When you access these third-party sites, you do so at your own risk. Sit4Sit takes no responsibility for third party advertisements which are posted on this Website or through the Services, nor does it take any responsibility for the goods or services provided by its advertisers. Sit4Sit is not responsible for the conduct, whether online or offline, of any User of the Services. Sit4Sit assumes no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, any User or Member communication. Sit4Sit is not responsible for any problems or technical malfunction of any telephone network or lines, computer online systems, servers or providers, computer equipment, software, failure of any email or communication due to technical problems or traffic congestion on the Internet, or outside it, or on any of the Services or combination thereof, including any injury or damage to Users or to any person's computer related to or resulting from participation or downloading materials in connection with the Services. Under no circumstances shall Sit4Sit be responsible for any loss or damage, including personal injury or death, resulting from use of the Services, attendance at a Sit4Sit event, from any Content posted on or through the Services, or from the conduct of any Users of the Services, whether online or offline. The Services are provided "AS-IS" and as available and Sit4Sit expressly disclaims any warranty of fitness for a particular purpose or non-infringement. Sit4Sit cannot guarantee and does not promise any specific results from use of the Services.

9. LIMITATION ON LIABILITY

SUBJECT TO APPLICABLE LAW, YOU EXPRESSLY UNDERSTAND AND AGREE THAT SIT4SIT AND ITS SUBSIDIARIES, AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, PARTNERS AND LICENSORS SHALL NOT BE LIABLE TO YOU FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA OR OTHER INTANGIBLE LOSSES (EVEN IF SIT4SIT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), RESULTING FROM: (i) THE USE OR THE INABILITY TO USE THE SERVICE; (ii) THE COST OF PROCUREMENT OF SUBSTITUTE GOODS AND SERVICES RESULTING FROM ANY GOODS, DATA, INFORMATION OR SERVICES PURCHASED OR OBTAINED OR MESSAGES RECEIVED OR TRANSACTIONS ENTERED INTO THROUGH OR FROM THE SERVICE; (iii) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA; (iv) STATEMENTS OR CONDUCT OF ANY THIRD PARTY ON THE SERVICE; OR (v) ANY OTHER MATTER RELATING TO THE SERVICE.

10. INDEMNITY

You agree to indemnify and hold Sit4Sit, its subsidiaries, and affiliates, and their respective officers, agents, partners and employees, harmless from any loss, liability, claim, or demand, including reasonable attorneys' fees, made by any third party due to or arising out of your use of the Services in violation of this Agreement and/or arising from a breach of this Agreement and/or any breach of your representations and warranties set forth above and/or if any Content that you post on the Website or through the Services causes Sit4Sit to be liable to another.

11. MODIFICATIONS TO SERVICE

Sit4Sit reserves the right at any time and from time to time to modify or discontinue, temporarily or permanently, the Service (or any part thereof) with or without notice. You agree that Sit4Sit shall not be liable to you or to any third party for any modification, suspension or discontinuance of the Service.

12. TERMINATION

You agree that Sit4Sit may, under certain circumstances and without prior notice, immediately terminate your Sit4Sit account, any associated email address and access to the Service. Cause for such termination shall include, but not be limited to, (a) breaches or violations of the Terms or other incorporated agreements or guidelines, (b) requests by law enforcement or other government agencies, (c) a request by you (self-initiated account deletions), (d) discontinuance or material modification to the Service (or any part thereof), (e) unexpected technical or security issues or problems, (f) extended periods of inactivity, (g) engagement by you in fraudulent or illegal activities, and/or (h) nonpayment of any fees owed by you in connection with the Services. Termination of your Sit4Sit account includes (a) removal of access to all offerings within the Service (b) deletion of your password and all related information, files and content associated with or inside your account (or any part thereof), and (c) barring of further use of the Service. Further, you agree that all terminations for cause shall be made in Sit4Sit's sole discretion and that Sit4Sit shall not be liable to you or any third party for any termination of your account, any associated email address, or access to the Service.

13. OTHER

This Agreement is accepted upon your use of the Website or any of the Services and is further affirmed by you becoming a Member. This Agreement constitutes the entire agreement between you and Sit4Sit regarding the use of the Services. The failure of Sit4Sit to exercise or enforce any right or provision of this Agreement shall not operate as a waiver of such right or provision. The section titles in this Agreement are for convenience only and have no legal or contractual effect. This Agreement operates to the fullest extent permissible by law. If any provision of this Agreement is unlawful, void or unenforceable, that provision is deemed severable from this Agreement and does not affect the validity and enforceability of any remaining provisions.

14. DISPUTES

If there is any dispute about or involving the Services, you agree that the dispute shall be governed by the laws of the Victoria (Australia) without regard to conflict of law provisions and you agree to personal jurisdiction by and venue in the courts of Victoria (Australia).

15. TERM

This Agreement shall remain in full force and effect while you use the Services or are a Member. You may terminate your Membership at any time, for any reason, by contacting Sit4Sit. Sit4Sit may terminate your Membership at any time, without warning. Even after Membership is terminated, this Agreement will remain in effect
